1. AGREEMENT
This Photography Services Agreement (“Agreement”) is entered into between Witness Light Studio, LLC (“Witness Light Studio,” “Photographer,” “we,” “us,” or “our”) and the client identified above (“Client,” “you,” or “your”).
The purpose of this Agreement is to establish the terms under which Witness Light Studio will provide professional photography services to Client.
By signing this Agreement, Client agrees to the terms contained herein.
2. SERVICES
Witness Light Studio agrees to provide the photography services described in this Agreement and any attached or incorporated proposal, invoice, package description, or written service summary.
The specific services may include, as applicable:
Portrait photography
Family photography
Engagement photography
Wedding photography
Event photography
Real-estate photography
Commercial photography
Headshots
Property or architectural photography
Other photography services specifically agreed upon in writing
The scope of services, coverage time, number of locations, deliverables, and other details will be determined by the applicable package, proposal, invoice, or written description associated with the booking.
Services not specifically included are not guaranteed to be provided.
3. RESERVATION OF DATE
A photography date is not considered permanently reserved until:
This Agreement has been accepted by both parties; and
Any required retainer or booking payment has been received.
Once the date has been reserved, Witness Light Studio may decline other assignments that conflict with the reserved date and time.
4. RETAINER / BOOKING PAYMENT
A retainer or booking payment may be required to reserve the photography date.
The amount due will be stated on the applicable invoice, proposal, or booking documentation.
Unless otherwise stated in writing, the retainer compensates Witness Light Studio for reserving the date and declining other work that could have been scheduled during that time.
The retainer is applied toward the total contracted price but is not intended to represent payment for photographs alone.
The parties may agree to a different payment structure in writing for a particular assignment.
5. PAYMENT OF REMAINING BALANCE
Any remaining balance must be paid according to the payment schedule specified in the Client's invoice or written booking agreement.
Unless otherwise stated in writing, the remaining balance is due before the photography services begin.
Witness Light Studio is not obligated to begin or continue services if required payments have not been received.
For extended projects, weddings, commercial assignments, or other customized services, a separate payment schedule may be established.
6. PRICING AND ADDITIONAL SERVICES
The agreed price covers only the services and deliverables specifically identified in the applicable booking documentation.
Additional services may include:
Additional photography time
Additional locations
Additional photographers
Additional edited images
Albums
Prints
Wall art
Retouching beyond the included services
Rush delivery
Additional digital files
Commercial licensing
Travel beyond the included service area
Other products or services requested by Client
Additional charges will be communicated to Client when reasonably possible and may require written approval.
7. TRAVEL
Travel charges may apply when photography services are requested outside the Photographer's included service area.
Any applicable travel fees, mileage charges, lodging, parking, airfare, or other travel-related expenses will be identified in the applicable proposal or invoice.
Client will be responsible for approved travel expenses associated with the assignment.
8. CLIENT COOPERATION
Client agrees to reasonably cooperate with the Photographer and provide information necessary to perform the contracted services.
Client is responsible for:
Providing accurate scheduling information.
Arriving on time.
Providing reasonable access to agreed locations.
Informing the Photographer of relevant restrictions or requirements.
Obtaining necessary permissions for locations under Client's control.
Informing the Photographer of significant changes to the assignment.
Ensuring that participants understand applicable photography expectations.
The Photographer cannot guarantee specific photographic results when circumstances are outside the Photographer's reasonable control.
9. TIMING AND LATENESS
Client's scheduled photography time begins at the agreed start time.
Client lateness may reduce the amount of available photography time.
Unless otherwise agreed, the Photographer is not required to extend the session to compensate for Client's lateness.
Additional coverage requested beyond the contracted time may be billed at the Photographer's then-current additional-coverage rate.
10. WEDDINGS AND EVENTS
For weddings and events, Client acknowledges that photography involves circumstances that may be outside the Photographer's control.
These may include:
Weather
Lighting conditions
Venue restrictions
Guest behavior
Delays
Schedule changes
Ceremony restrictions
Vendor interference
Traffic
Equipment access
Unexpected events
Restrictions imposed by venues, officiants, coordinators, or other third parties
The Photographer will make reasonable professional efforts to document the event according to the agreed coverage and Client's priorities.
However, the Photographer does not guarantee that every person, moment, detail, or requested photograph will be captured.
11. REAL-ESTATE PHOTOGRAPHY
For real-estate assignments, Client is responsible for ensuring that the property is reasonably prepared and accessible at the scheduled photography time.
This may include:
Cleaning and decluttering.
Turning on appropriate lights.
Opening or closing blinds and curtains.
Removing unwanted personal items.
Ensuring access to all requested areas.
Securing pets and other animals.
Informing the Photographer of areas that should not be photographed.
The Photographer is not responsible for photographing areas that are inaccessible, unsafe, restricted, or not reasonably prepared.
12. PORTRAIT AND FAMILY SESSIONS
Client understands that photographic results may be affected by participant cooperation, expressions, posing comfort, weather, lighting, clothing, location conditions, and other circumstances.
The Photographer will provide reasonable professional direction but cannot guarantee a particular expression, pose, interaction, or photographic result.
13. CREATIVE AND ARTISTIC CONTROL
Client acknowledges that photography involves artistic judgment.
Witness Light Studio retains professional discretion regarding:
Composition
Camera angles
Lighting
Posing
Image selection
Cropping
Color
Exposure
Retouching
Editing
Artistic style
Client may communicate preferences and priorities before or during the assignment, but the Photographer retains final artistic control over the photographic work unless specific requirements have been agreed to in writing.
14. IMAGE SELECTION
Unless otherwise stated, Witness Light Studio will select the photographs that are delivered to Client.
Not every photograph captured during a session will be delivered.
Images may be excluded because of:
Blinks
Unflattering expressions
Technical problems
Duplicate images
Test photographs
Poor composition
Focus problems
Exposure problems
Other professional selection criteria
RAW files, unedited files, rejected images, test images, and working files are not included.
15. EDITING AND RETOUCHING
Delivered photographs will receive the level of editing included in the selected package or service.
Standard editing may include:
Exposure correction
Color correction
White-balance adjustment
Cropping
Contrast and tonal adjustments
Reasonable skin or blemish correction
Other standard finishing adjustments consistent with the Photographer's style
Extensive retouching, object removal, compositing, or specialized editing may be subject to additional fees.
16. DELIVERABLES
The specific deliverables included in the Client's purchase will be identified in the applicable proposal, invoice, package description, or written agreement.
Deliverables may include:
Digitally edited photographs
Online gallery
Downloadable digital files
Prints
Albums
Wall art
Other photographic products
RAW files and unedited photographs are not deliverables.
17. DIGITAL IMAGE LICENSE
Digital photographs delivered to Client remain copyrighted works of Witness Light Studio, LLC unless copyright ownership has been expressly transferred in a separate written agreement.
Client's permitted use of delivered digital photographs is governed by the Witness Light Studio Digital Image License Agreement.
The Digital Image License grants Client specified usage rights but does not transfer copyright ownership.
Client should review that agreement before reproducing, publishing, modifying, or commercially using delivered photographs.
18. DIGITAL IMAGE SALES
When Client purchases digital photographs separately from the contracted photography services, the purchase is also governed by the Witness Light Studio Terms of Sale — Digital Images.
The Terms of Sale govern matters including payment, delivery, digital-file purchases, download access, refunds, and related transaction terms.
The Digital Image License governs the permitted use of the photographs after purchase.
19. COPYRIGHT
All photographs created by Witness Light Studio remain the copyrighted property of Witness Light Studio, LLC unless otherwise agreed in a separate written copyright-transfer agreement.
Client receives the rights expressly granted under the applicable license.
Nothing in this Agreement constitutes a copyright transfer unless a separate written agreement specifically states that copyright ownership is being transferred.
20. COMMERCIAL USE
Personal-use photography does not automatically include commercial or promotional rights.
Commercial use may include:
Business websites
Advertising
Marketing
Product packaging
Promotional campaigns
Corporate communications
Paid publications
Commercial social media
Stock photography
Merchandise
Business branding
Commercial licensing may be purchased separately.
The permitted scope, duration, territory, media, and fee for commercial use will be established in writing.
21. PHOTOGRAPHER'S PORTFOLIO AND PROMOTIONAL USE
Unless Client has separately requested in writing that their photographs remain private, Client grants Witness Light Studio permission to display photographs created under this Agreement for lawful business purposes, including:
Studio portfolio
Website
Social media
Photography competitions
Samples
Printed promotional materials
Advertising
Studio presentations
For assignments involving sensitive circumstances, minors, private events, or other privacy concerns, the parties may establish different usage terms in writing.
Nothing in this section overrides a separate written privacy or image-use agreement.
22. CLIENT PRIVACY REQUESTS
Client may discuss privacy restrictions with Witness Light Studio before the photography session.
Any restriction on the Photographer's portfolio or promotional use should be documented in writing.
Additional privacy terms may affect pricing for certain assignments where the Photographer is being asked to surrender otherwise customary promotional rights.
23. MODEL RELEASES AND THIRD-PARTY PERMISSIONS
Client is responsible for informing the Photographer of any relevant privacy, confidentiality, or usage restrictions concerning individuals appearing in the photographs.
For commercial assignments, Client is responsible for obtaining permissions or releases that Client is legally required to obtain unless Witness Light Studio expressly agrees in writing to obtain them.
The Photographer will not knowingly grant rights to use a person's likeness beyond rights actually obtained or legally available.
24. CANCELLATION BY CLIENT
If Client cancels the assignment, Client should notify Witness Light Studio as soon as reasonably possible.
Cancellation terms, including whether any retainer or other payment is refundable, will depend upon the nature of the assignment, the timing of cancellation, and the payment terms agreed upon.
Unless otherwise stated in a written proposal or invoice, a booking retainer is generally non-refundable because it compensates the Photographer for reserving the date and declining other work.
Amounts paid beyond a non-refundable retainer may be handled according to applicable law and the specific circumstances of the cancellation.
25. RESCHEDULING
Client may request to reschedule a session or event.
Rescheduling is subject to Photographer availability.
Witness Light Studio will make reasonable efforts to accommodate legitimate scheduling changes but cannot guarantee availability on a replacement date.
Additional fees may apply when rescheduling creates additional travel, lodging, staffing, or other costs.
26. WEATHER
For outdoor photography, the Photographer may recommend rescheduling when weather or environmental conditions create safety concerns or are reasonably expected to materially interfere with the assignment.
The Photographer and Client may mutually agree to reschedule when practical.
Weather decisions for weddings and time-sensitive events may necessarily be made differently because the event itself cannot ordinarily be rescheduled.
27. CANCELLATION BY PHOTOGRAPHER
Witness Light Studio reserves the right to cancel an assignment when circumstances make performance impossible or unsafe.
If the Photographer must cancel for reasons within the Photographer's reasonable control, Witness Light Studio will make reasonable efforts to provide a suitable replacement photographer or reschedule the assignment when practical.
If the Photographer cannot reasonably provide the contracted services, amounts paid for services that were not provided will be addressed according to the applicable agreement and applicable law.
28. ILLNESS, EMERGENCY, OR FORCE MAJEURE
Neither party will be considered in breach of this Agreement for failure or delay caused by circumstances beyond reasonable control.
Examples include:
Serious illness
Injury
Family emergency
Natural disaster
Severe weather
Fire
Government restrictions
Venue closure
Transportation failure
Power or internet outage
Equipment failure
Other extraordinary circumstances
The parties will make reasonable efforts to reschedule or otherwise resolve the affected assignment.
29. EQUIPMENT FAILURE
The Photographer maintains professional photographic equipment and will make reasonable efforts to maintain backup equipment where appropriate.
In the unlikely event of equipment failure, Witness Light Studio will make reasonable efforts to continue the assignment using available backup equipment or other appropriate methods.
The Photographer does not guarantee that equipment failure can always be prevented.
30. LOSS OR CORRUPTION OF IMAGES
Witness Light Studio will use reasonable professional practices to protect and preserve captured photographs.
In the unlikely event that photographs are permanently lost or corrupted because of circumstances directly attributable to the Photographer, the Photographer's liability will be addressed under applicable law and the limitation-of-liability provisions of this Agreement.
The Photographer cannot guarantee against every possible form of data loss.
31. DELIVERY TIME
Estimated delivery times will be communicated according to the type of assignment.
Delivery times may vary based on:
Assignment size
Editing requirements
Season
Client-selected products
Album design
Additional retouching
Circumstances outside the Photographer's control
Unless a guaranteed delivery date is expressly stated in writing, delivery dates are estimates rather than guarantees.
32. ALBUMS AND PHYSICAL PRODUCTS
When physical products are purchased, product specifications, pricing, production times, and approval procedures may vary by product.
Client is responsible for reviewing album designs, selections, spelling, names, dates, and other information before final approval.
Once a custom product has entered production, changes or cancellations may not be possible and additional charges may apply.
33. CLIENT-REQUESTED CHANGES
Requests for changes to completed photographs, album designs, or other deliverables may be subject to additional fees.
The Photographer is not obligated to provide unlimited revisions unless specifically included in the selected package.
34. LOCATION AND VENUE RESTRICTIONS
Client is responsible for identifying known photography restrictions at the selected location or venue.
The Photographer will comply with reasonable venue rules communicated before or during the assignment.
Witness Light Studio is not responsible for missed photographs resulting from restrictions imposed by a venue, property owner, officiant, coordinator, or other third party.
35. SAFETY
The safety of Client, participants, Photographer, assistants, and equipment takes priority over obtaining a photograph.
The Photographer may refuse or modify a requested photograph, pose, location, or activity when the Photographer reasonably believes it presents an unacceptable safety risk.
Client agrees not to require the Photographer to enter unsafe areas or participate in unsafe activities to obtain photographs.
36. COOPERATION OF GUESTS AND PARTICIPANTS
For weddings, events, and group sessions, Client understands that guests and participants may interfere with or affect photography.
The Photographer is not responsible for missed images caused by guests, participants, vendors, venue personnel, or other third parties.
Client may designate an appropriate person to assist with organizing group photographs when necessary.
37. PROFESSIONAL CONDUCT
Both parties agree to conduct themselves respectfully and professionally.
Witness Light Studio may stop or terminate an assignment if the Photographer reasonably believes that continued participation would create a threat to personal safety, involve harassment, discrimination, violence, unlawful conduct, or significant property damage.
Any resulting financial consequences will be addressed according to the circumstances and applicable law.
38. LIMITATION OF LIABILITY
To the fullest extent permitted by applicable law, Witness Light Studio's liability arising from this Agreement will be limited to the amount actually paid by Client for the affected photography services.
Witness Light Studio will not be responsible for indirect, incidental, special, consequential, or punitive damages except to the extent such limitation is prohibited by applicable law.
Nothing in this Agreement is intended to waive rights that cannot legally be waived or limited.
39. INDEMNIFICATION
To the extent permitted by applicable law, Client agrees to be responsible for claims, damages, or expenses arising from Client's breach of this Agreement, Client's unlawful conduct, or Client's failure to obtain permissions that Client was responsible for obtaining.
This provision does not apply to the extent that the claim results from the Photographer's own unlawful conduct or negligence.
40. INDEPENDENT CONTRACTOR
Witness Light Studio is an independent contractor and is not an employee, partner, joint venturer, or agent of Client unless otherwise expressly agreed in writing.
41. GOVERNING LAW
This Agreement shall be governed by and interpreted according to the laws of the State of Montana, without regard to conflict-of-law principles, except where applicable law requires otherwise.
Any legal action arising from this Agreement shall be subject to the jurisdiction of courts having appropriate authority.
42. SEVERABILITY
If any provision of this Agreement is determined to be invalid, unlawful, or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.
43. ENTIRE AGREEMENT
This Agreement, together with any applicable proposal, invoice, package description, Terms of Sale, Digital Image License, and other written documents expressly incorporated into the transaction, constitutes the agreement between the parties concerning the photography services.
If a specific provision in a separately signed written agreement conflicts with this Agreement, the specific written agreement will control to the extent of the conflict.
44. ELECTRONIC SIGNATURES
The parties agree that electronic signatures, electronic acceptance, and electronically transmitted copies of this Agreement may be used and shall have the same intended effect as an original handwritten signature to the extent permitted by applicable law.
CLIENT ACKNOWLEDGMENT
By signing below, Client confirms that they have read, understood, and agree to the terms of this Photography Services Agreement.
